Acceptable Use Policy.

1. PERMITTED USES.

You may visit, browse, use, access, onboard, and/or participate in the Beplace Solution; and/or engage in absolutely any activity whatsoever, including any of the preceding activities, with any Beplace Resource or through any Beplace Site, Beplace App, Beplace Premise, Beplace Software, Beplace Hardware, and/or any other real or digital property, software, or hardware in the normal and ordinary course of your business, for:

• your own research purposes; or

• pursuant to our User Eligibility Policy; or

• for the purposes of Businesses in which you are or will be a Business Owner; or

• for the purposes of Loans in which you are or will be a Borrower; or

• for End Users for which you are an End User Agent; and

  • for the purposes of Businesses in which the End User is or will be a Business Owner; or

  • for the purposes of Loans in which the End User is or will be a Borrower.

• for your non-commercial use; or

• for your commercial use of a Beplace Solution subject to your participation in the Beplace Solution as a broker or Agent.

2. PROHIBITED USES.

You may not visit, browse, use, access, onboard, and/or participate in the Beplace Solution; and/or engage in absolutely any activity whatsoever, including any of the preceding activities, with any Beplace Resource or through any Beplace Site, Beplace App, Beplace Premise, Beplace Software, Beplace Hardware, and/or any other real or digital property, software, or hardware in any way whatsoever:

• for any purpose not expressly permitted in the Permitted Uses; or

• that adapts, assigns, communicates, compiles, copies, creates derivative works of, data mines, decodes, decompiles, disassembles, discloses, displays, distributes, duplicates, exports, extracts, gathers, generates, leases, licenses, makes available, merges, mines, modifies, monitors, processes, provides access to, publishes, rents, reproduces, reverse engineers, scrapes, sells, stores, sublicenses, transfers, translates, or transmits (directly or indirectly, physically or digitally, in whole or in part) the Beplace Solution or any or all of the Beplace Marks, Beplace Resources, Beplace Sites, Beplace Apps, Beplace Premises, Beplace Software, or Beplace Hardware; or

• that uses (directly or indirectly, physically or digitally, in whole or in part) the Beplace Solution or any or all of the Beplace Marks, Beplace Resources, Beplace Sites, Beplace Apps, Beplace Premises, Beplace Software, or Beplace Hardware for any purpose not expressly permitted in this or any other Beplace Agreement to which you are a party; or

• that assigns, sublicenses, or transfers any of your claims, duties, interests, obligations, powers, privileges, or rights in or to this or any other Beplace Agreement, and you acknowledge and understand that any such attempt is void; or

• to download, post, provide access to, publish, or upload (directly or indirectly, physically or digitally, in whole or in part) the Beplace Solution or any or all of the Beplace Resources, Beplace Sites, Beplace Apps, Beplace Premises, Beplace Software, or Beplace Hardware on the Internet, to any MLS or listing service, or on any electronic device, network, or system; or

• to make available, communicate, deliver, report, transmit to any private party or to the general public by any means, contractual obligation or requirement, fiduciary duty, or by or under the Law or any law the Beplace Solution or any Beplace Resources, Beplace Sites, Beplace Apps, Beplace Premises, Beplace Software, or Beplace Hardware; or

• to (directly or indirectly, physically or digitally, in whole or in part) create or contribute, in any way whatsoever, to the development of any products, services, programs, sites, apps, software, hardware, or any other real or digital property, software, or hardware; or

• to communicate, copy, disclose, display, distribute, duplicate, make available, provide access to, reproduce, transfer, transmit (directly or indirectly, physically or digitally, in whole or in part) the Beplace Solution or any or all of the Beplace Resources, Beplace Sites, Beplace Apps, Beplace Premises, Beplace Software, or Beplace Hardware to any direct or indirect competitor of Beplace (or to any person that has committed or plans to commit any act that is adversarial in any way whatsoever to Beplace); or

• to take or commit, or plan to take or commit, any act that is adversarial in any way whatsoever to Beplace; or

• to engage or participate, or plan to engage or participate, in any business that is in competition in any manner whatsoever with Beplace; or

• to impersonate any person, including any Beplace User; or

• using any email address other than your accurate, current, and true email address; or

• using any email address other than the email address with which you transacted your first purchase or subscription (except that you may email Beplace using your Registered Email Address in order to change your email address); or

• using an email address that is used by any individual other than yourself; or

• to provide use of or share your Registered Email Address with any individual other than yourself; or

• to access the Beplace Solution unless you are a Beplace User; or

• to access Beplace Resources unless you are a Beplace User; or

• to misrepresent or misstate any User Information or User Content, including anything related to your participation in the Beplace Solution; or

• to market or submit to Beplace (or to agree to market or to submit to Beplace) any Business, Loan, Property, or Project without first obtaining the appropriate, proper, and necessary authorizations, consents, and permissions as required by applicable law; or

• to disguise the origin of any User Information or User Content; or

• that contains any electronic code, files, malware, programs, spyware, or viruses that are capable of or designed to access, affect, damage, destroy, disable, impede, interrupt, limit, or modify the concept, connectivity, experience, functionality, or interface of the Beplace Solution or any of the Beplace Resources, Beplace Sites, Beplace Apps, Beplace Premises, Beplace Software, or Beplace Hardware; or

• to have or to plan to have any activity in any Business, Loan, Property, or Project in any Prohibited Jurisdictions; or

• to have or to plan to have any clients, contractors, customers, employees, interns, vendors, or similar persons in any Prohibited Jurisdictions; or

• to encourage or to engage in illegal activity, harass or stalk any person, or violate this or any other Beplace Agreement, or any applicable local, state, provincial, national or international law, rule, regulation or ordinance, including without limitation, state, provincial and local real estate practice, spam or privacy laws; or

• that is or is suspected of being (in the sole and absolute discretion of Beplace), whether intentionally or unintentionally: abusive, criminal, defamatory, discriminatory, false, (or giving rise to) any liability or potential liability, harmful, hate speech, libelous, misleading, objectionable, obscene, offensive, predatory, questionable, threatening, tortious, a violation of the Law or any law, a violation of the rights of Beplace or a Beplace User, a violation of privacy, vulgar, or unlawful; an infringement of any intellectual property, including any copyright, patent, trade secret, trademark, or other proprietary right of Beplace or any party or that violates the privacy or publicity rights of Beplace or any party; deceptive, fraudulent, predatory, unfair, or unlawful advertising, business practices, marketing, practices, or solicitations; or

• if you have committed a Material Breach and your status as a Beplace User was terminated.
