1 Subject to an Engagement Agreement. Beplace’s role must be explicitly defined within the engagement to ensure that communications are privileged and that privilege is not inadvertently waived. Neither attorney-client privilege nor work-product protection applies automatically. Attorney-client privilege is only recognized under Kovel principles when Beplace is assisting a Borrower Attorney in providing legal advice. Work-product protection applies when Beplace’s materials are prepared at the explicit direction of a Borrower Attorney in anticipation of or for litigation. If Beplace is providing business or financial execution (i.e., financing execution) rather than supporting legal representation, no privilege applies.
2 Attorney-client privilege does not apply to Beplace unless explicitly structured within an engagement. If Beplace is engaged to support legal representation under a Borrower Attorney's direction, then privilege may extend under Kovel principles. Otherwise, Beplace communications remain unprivileged.
3 Work-product protection applies only when Beplace’s materials are prepared at the explicit direction of a Borrower Attorney in anticipation of or for litigation. This protection does not extend to materials created for general business purposes, transaction support, or financing execution. Otherwise, no protection applies.
4 No privilege applies. Beplace provides business and financial execution (i.e., financing execution), and all communications remain unprotected under attorney-client privilege. Beplace does not provide legal services or legal advice.
5 Beplace may coordinate with the Borrower only as permitted under the Borrower Attorney’s engagement framework. Communications are subject to privilege considerations and must be approved by the Borrower Attorney to ensure alignment with legal strategy.
6 Beplace may communicate with the Borrower only under the explicit direction of the Borrower Attorney. Coordination is strictly limited to attorney-approved tasks that support litigation or financing execution. All communications must comply with privilege considerations, and Beplace does not act independently in legal matters.
7 Beplace coordinates directly with the Borrower for tasks strictly related to financing execution. Attorney oversight is not required for non-legal business functions.
